1. Agreement to These Terms

By accessing or using the Magnex AI website (magnexai.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our site or services. These terms apply to all visitors, prospective clients, and clients.

2. Use of the Website

You may use this website for lawful purposes only. You agree not to:

  • Use the site in any way that violates applicable local, state, national, or international law
  • Attempt to gain unauthorized access to any part of the site or its related systems
  • Transmit unsolicited advertising or promotional material (spam)
  • Reproduce, copy, or commercially exploit any portion of this site without express written permission
  • Scrape, crawl, or systematically extract content from the site beyond normal browsing
  • Introduce malware, viruses, or harmful code into any part of our systems

3. Services and Client Engagements

Magnex AI provides AI automation consulting and deployment services. All service engagements are governed by a separate written agreement (Statement of Work or Master Service Agreement) signed between Magnex AI and the client. These Terms of Service govern only your use of this website and initial inquiry — not the ongoing service relationship.

If these Terms conflict with a signed Service Agreement, Statement of Work, or Data Processing Addendum, the signed agreement controls for that client engagement.

Submitting the contact form or booking a workflow audit does not create a contractual obligation on either party. No service agreement exists until a separate written contract is executed by both parties.

Deployment timelines referenced on the website (including the 10–14 day go-live estimate) are estimates based on typical engagements and are not contractual guarantees. Actual timelines depend on client responsiveness, credential access, data quality, and workflow complexity, and will be specified in the applicable Service Agreement.

4. Client Responsibilities

Clients engaging Magnex AI's services are responsible for:

  • The accuracy, legality, and completeness of all data, instructions, credentials, and workflow information provided
  • Ensuring they have all rights, permissions, consents, and legal authority required to provide data and authorize the requested automations
  • Obtaining and maintaining all legally required consents from their customers for calls, SMS messages, recordings, AI-generated voice communications, and automated outreach
  • Compliance with applicable industry regulations, platform rules, and consumer protection laws relevant to their business
  • Providing legally compliant opt-out mechanisms and promptly honoring revocation requests from their customers
  • Maintaining appropriate human oversight of AI-generated outputs for business-critical, regulated, emergency, financial, legal, medical, or safety-related decisions

5. Prohibited Uses

You may not use Magnex AI services, website, or deployed systems to:

  • Send unlawful spam, make unlawful robocalls, or send unlawful automated text messages
  • Impersonate any person, business, or entity deceptively
  • Collect sensitive personal information without legally required authorization or consent
  • Generate, publish, or solicit fraudulent reviews or testimonials
  • Violate platform rules, terms of service, or acceptable use policies of any third-party service
  • Engage in discriminatory, deceptive, abusive, harassing, or illegal customer outreach
  • Automate legal, medical, financial, or regulated professional advice without appropriate qualified oversight
  • Engage in any activity that violates applicable federal, state, or local law

6. Communications Compliance (SMS, Voice, AI)

Clients are responsible for obtaining and maintaining all legally required consents for calls, texts, recordings, and AI-generated voice communications performed through or connected to Magnex AI's services. Clients must provide legally compliant opt-out mechanisms and promptly honor revocation requests in accordance with applicable law, including the Telephone Consumer Protection Act (TCPA) and FCC regulations. Magnex AI may suspend workflows that appear to violate applicable communications, privacy, or consumer protection laws without notice pending resolution.

Clients indemnify and hold Magnex AI harmless from any claims, fines, or liability arising from the client's failure to obtain required consents or comply with communications law.

7. Results and Performance Claims

Case study results, statistics, and performance outcomes described on this website reflect actual results achieved for specific clients under specific conditions and are provided for illustrative purposes only.

Results are not guaranteed. Actual outcomes will vary based on business type, industry, market conditions, existing workflows, data quality, and other factors. No representation is made that any specific result will be achieved. All figures presented are historical and should not be interpreted as a promise or guarantee of future performance.

8. AI Systems Disclaimer

This website includes an AI chat assistant intended solely to answer general questions about Magnex AI's services, pricing, and process. It does not provide legal, financial, or professional advice. Responses may not be accurate, complete, or up to date. Do not rely on the website chat for business-critical decisions.

Magnex AI's deployed service automations, including AI voice agents, lead scoring systems, SMS sequences, CRM update workflows, and daily summaries, are powered by AI and may produce outputs that are incomplete, inaccurate, delayed, or unsuitable for a specific situation. Clients are responsible for reviewing AI-generated outputs and maintaining appropriate human oversight for any business-critical decisions.

9. Intellectual Property

All content on this website — including text, design, graphics, code, agent descriptions, pricing structures, and branding — is the property of Magnex AI and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without express written permission.

Custom workflows, automations, and agent configurations built for a client under a service agreement are owned by the client upon full payment, as specified in the client agreement. This website and its general content remain the sole property of Magnex AI.

10. Third-Party Services

This website references and integrates third-party services including Netlify Forms, Google Fonts, LinkedIn, and others. These services are governed by their own terms and privacy policies. Magnex AI is not responsible for the content, practices, accuracy, or availability of any third-party services or websites linked from this site.

11. Disclaimer of Warranties

This website and its content are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Magnex AI does not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Magnex AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this website or reliance on any information contained herein.

Our total liability for any claim arising from your use of this website shall not exceed one hundred US dollars ($100). This limitation applies to website use only. Liability for paid services is governed exclusively by the applicable signed Service Agreement or Statement of Work.

Magnex AI is not liable for service disruptions, errors, or losses caused by third-party platform outages, API changes, or service interruptions by vendors including but not limited to telephony providers, SMS gateways, CRM platforms, calendar services, and AI model providers.

13. Indemnification

You agree to indemnify, defend, and hold harmless Magnex AI, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the website or services in violation of these Terms; (b) your violation of any applicable law; (c) your failure to obtain required consents for communications; (d) any third-party claim arising from data or content you provide to Magnex AI; or (e) any misrepresentation made by you in connection with your use of the services.

14. Force Majeure

Magnex AI shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, third-party platform outages, cyberattacks, telecommunications failures, or other events outside our reasonable control.

15. Termination

Either party may withdraw from a pre-contract inquiry or audit engagement at any stage with no obligation. Any work product, proposals, or audit materials produced before a signed agreement remains the property of Magnex AI unless otherwise agreed in writing. For ongoing service relationships, termination is governed by the applicable Service Agreement.

16. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the applicable federal courts of the United States.

Before initiating litigation, the parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days following written notice of the dispute.

17. Changes to These Terms

We reserve the right to update these Terms of Service at any time. For material changes, we will provide at least 14 days' notice via a prominent notice on the website or by email to active contacts before changes take effect. The "last updated" date reflects the most recent revision. Continued use of the site after changes are posted constitutes your acceptance of the updated terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any signed Service Agreement, constitute the entire agreement between you and Magnex AI with respect to the subject matter herein and supersede all prior agreements and understandings.
